P2P · Vehicle participation shares

One vehicle.
Shared participation.

Explore participating in the operation of a specific vehicle through shares: how funds would be used, operating results distributed and risks borne.

Concept only · Participation is not yet open. This is not an investment offer.

“Vehicle co-holding plan” is a working name. The legal rights structure is not yet defined; purchasing a share would not necessarily give you ownership of the vehicle.

Vehicle-use rights and rights to proceeds are agreed separately.

Understand the accounts before the distribution

You participate in operating results.

Distributions come from available cash after agreed costs and reserves. They cannot be calculated directly from revenue.

Assumes €36,000 for purchase and preparation plus an initial operating reserve of €4,000: €40,000 in total, divided into 100 shares. Illustrative distribution = max(0, revenue − operating expenses − quarterly reserve allocation) × your shares ÷ 100.

Low utilisation: €1,200 revenue, €1,700 expenses, €0 reserve allocation. Base case: €3,000 revenue, €1,700 expenses, €300 reserve allocation. High utilisation: €4,200 revenue, €1,900 expenses, €500 reserve allocation. Operating expenses combine insurance, maintenance and management costs; actual details and charges must be defined in the contract.

The example excludes V2G income, assumes no financing and omits taxes and sale proceeds. It illustrates simplified cash distributions, not accounting profit. Depreciation affects profit; loan principal repayments affect cash. Spending from reserves must not be deducted twice.

Proposed operating arrangements

A managed vehicle.
Visible accounts.

Participants’ rights, PPEV’s responsibilities and management fees should be clearly agreed before participation.

  1. Define the vehicle and use of funds

Specify the vehicle, fixed share count, purchase budget, launch conditions and refund arrangements if those conditions are not met. Shares of the same class should, in principle, carry equal rights.

  2. Agree responsibilities and fees

Disclose who operates the vehicle, how insurance and repairs are handled, how management fees are charged and how related-party transactions are priced.

  3. Keep vehicle-level accounts and report regularly

The proposal is to report operations monthly and assess distributions quarterly. Revenue, expenses, reserves and distributable cash would be shown separately, subject to the final contract.

  4. Include energy income only when conditions are met

V2G needs separate checks and authorisation, with charging-cost compensation and rights to proceeds agreed first. The share demonstration here excludes this income.

Consider the exit as well as distributions

Operating results vary. Residual value carries risk.

The initial proposal is to hold for an agreed operating period or settle after the vehicle is sold. There is no promise of redemption on demand, buyback, capital protection or a fixed return.

If net vehicle sale proceeds are €24,000

Assumes no outstanding debt and proceeds after disposal costs and taxes. This fixed example uses 5 / 100 shares:

€24,000 × 5%€1,200

This is less than the illustrative €2,000 contribution for 5 shares. Past operating distributions are separate; even with earlier distributions, you may not recover all your capital.

Operations and costs

Idle periods, accidents, repairs and battery wear may reduce revenue and increase expenses.

Exit and liquidity

Depreciation, transfer restrictions and the timing of a sale may affect how much you receive and when.

Contracts and counterparties

The legal rights structure, the operator’s ability to fulfil its obligations and regulatory changes affect protection of your interests.

To be confirmed before participation

Clarify the rights before committing.

What would buying a share actually give me?

It could mean joint rights in the vehicle, equity in an entity that owns it, or contractual rights to a share of proceeds. The structure is not yet defined. The name “co-holding” does not establish vehicle ownership; the final name and documents must reflect the actual rights.

Would shares let me use the vehicle for free?

Holding shares does not automatically give you vehicle-use rights. Using a vehicle requires a separate subscription and agreement. Subscription customers do not automatically receive rights to operating proceeds either.

Could I have to contribute more money if there are losses?

Any obligation to provide additional funds, limits of liability and treatment of funding shortfalls depend on the final rights structure and contract. These examples do not establish limited liability or freedom from further funding obligations.

When can I participate?

Participation is not yet open. Actual conditions will be published only after vehicle ownership, fundraising and funds-service rules, legal and tax arrangements, fees and exit terms are confirmed.
